Advaxis,
Inc. (the “

”) cannot
complete its Form 10-K within the prescribed time period because the Company is
experiencing delays in the collection and compilation of certain financial and
other information required to be included in the Form 10-K. In accordance with
Rule 12b-25 under the Securities Exchange Act of 1934, the Company anticipates
filing its Form 10-K no later than fifteen calendar days following the
prescribed due date.

Company expects to report a decrease in net loss of 29.6% to approximately $3.8
million for the fiscal year ended October 31, 2009 from a net loss of
approximately $5.4 million for the fiscal year ended October 31, 2008, due in
part to the recognition by the Company of a $1.4 million gain on a change in the
value of the Company’s warrants and embedded derivatives.
